Confidentiality And Conflict Of Interest Agreement Linguistic Society Of America (“LSA”) for Committee/SIG Chairs

I, the undersigned Committee/SIG Member of LSA hereby affirm and agree that I will not communicate or disclose via discussion, email, texting, social networking, mail, or any other form of communication, any Confidential Information that I may encounter or to which I may have access as a Committee/SIG Member to any person(s) outside of my Committee/SIG, the Executive Committee or persons specifically employed or engaged by the LSA to assist with the subject matter of the applicable Confidential Information (i.e. specifically-designated LSA staff, legal counsel). Furthermore, I affirm and agree not to misuse or otherwise misappropriate any Confidential Information. I further agree that I will adhere to this Statement and Agreement.

For purposes of this Agreement, “Confidential Information” includes, but is not limited to, the contents of the LSA meetings, agendas, discussion, supporting materials, or minutes (past or current), information received from the Executive Committee or Committee/SIG, information regarding the organization, operations, programs, activities, policies, procedures, practices, financial records, trade secrets, membership lists and contact information, litigation matters and standards of LSA. All such information shall be considered confidential regardless of the medium in which it is disclosed, or if the information is explicitly labelled as such. Confidential Information does not include information generally known to the public through no disclosure or fault on my part.

Unless otherwise approved for wider discussion or distribution to LSA membership or the general public by the Executive Committee, the discussions of any Executive Committee or Committee/SIG meeting to which I am invited, including discussions leading to these published actions are still to remain strictly confidential.

I understand and agree that as a Committee/SIG Member of LSA, I am bound as a fiduciary to the organization and shall use best-faith effort and reasonable discretion to advance the interests of LSA. This includes compliance with all applicable LSA policies, as well as actively and transparently participating in LSA meetings and maintaining confidence of any matters discussed by the Executive Committee or Committee/SIG during official LSA business. Furthermore, I understand and agree that Confidential Information remains confidential even after I complete my term of service. Therefore, I will not, either during or after the term of my service, use or seek to use any of the Confidential Information for my own benefit, for the benefit of a competitor of the LSA, or to benefit any third person or entity. Any exceptions to the obligations herein require Executive Committee's approval. I further represent and warrant that my service to LSA does not conflict with any prior obligation I may hold to a third party person or entity. I shall abide by any LSA Conflict of Interest Policy and disclose any potential conflicts directly to LSA leadership as may be required or requested by LSA.

Furthermore, should I discover a breach of confidentiality, I will immediately contact the LSA President or the Executive Director and relay complete and detailed information regarding the incident.

Finally, I understand and agree that any work product to which I contribute as a member of the Committee/SIG is solely and exclusively owned by LSA and I assign all rights that I have therein to LSA.
